These Terms apply to any use of the upperfloor.ai website (the "Site"), operated by Upperfloor, a licensed business (Osek Murshe) No. 558600698, HaTa'as 23, Beit HaEtz HaNadiv, Kfar Saba.

These are not the Terms of Service. The commercial engagement for receiving Upperfloor's services is governed by a separate document - the Terms of Service, at upperfloor.ai/en/terms - which applies only to a party that has signed a service order. These Terms apply to every visitor to the Site, including with no engagement at all.

1. Intellectual property in Site content

1.1 The Site, its design, code, texts, graphics, videos, logo and trademarks are the property of Upperfloor or of its licensors.

1.2 You may view, print and share Site content for personal or internal organizational use, with attribution to the source. Copying, reproducing, republishing or distributing Site content for a commercial purpose is prohibited without written permission.

1.3 Nothing above prevents brief and fair quotation with attribution to the source.

2. Prohibited uses

The following are prohibited on the Site:

(a) automated collection of content or data (scraping, crawling, text mining), other than customary search-engine indexing;

(b) use of Site content to train or tune artificial intelligence models, without written permission;

(d) reverse engineering of Site components;

(e) use of Site content in a manner that infringes third-party rights or is contrary to law.

3. Site content is not an offer and not advice

3.1 The content on the Site, including articles, guides, performance figures and product descriptions, is for general information only.

3.2 Nothing on the Site constitutes a binding offer, an undertaking as to results, or professional advice - business, legal or technological. Upperfloor's obligations are defined solely in a signed service order and in the Terms of Service.

3.3 Figures, prices and plan descriptions shown on the Site may change; the binding price is the one in the signed Order.

4. AI transparency

4.1 An enquiry submitted through the Site may receive a response and follow-up on WhatsApp from an artificial-intelligence agent. A response received through this channel may be automated.

4.2 A response produced by an artificial intelligence system may be inaccurate or incomplete, and does not bind Upperfloor. Material details will be verified with a representative before any engagement.

4.3 A transfer to a human representative may be requested at any stage, by contacting team@upperfloor.ai.

5. Privacy

Use of the Site and of its contact channels is subject to the Privacy Policy, at upperfloor.ai/en/privacy, which forms an integral part of these Terms.

6. Accessibility

Upperfloor works to make the Site accessible. Details, known limitations and contact routes are set out in the Accessibility Statement, at upperfloor.ai/en/accessibility.

7. External links

The Site may contain links to third-party sites and services. Upperfloor does not control them and is not responsible for their content, availability or privacy practices.

8. Site availability

Upperfloor does not undertake continuous availability of the Site, and may modify, suspend or discontinue it, in whole or in part, at any time. The availability target and credits set out in the Terms of Service apply to the managed service only, not to the Site.

9. Limitation of liability

9.1 Use of the Site is at the user's sole risk.

9.2 Upperfloor shall not be liable for indirect or consequential damage arising from use of the Site, from reliance on its content, or from its unavailability.

9.3 Nothing in this Section derogates from liability that cannot be limited under law, and nothing in it alters the liability arrangements in the Terms of Service, which apply to contracting customers.

10. Amendment of these Terms

Upperfloor may update these Terms at any time. The binding version is the one published on the Site at the time of use. The date of last update appears at the top of this document.

11. Governing law and jurisdiction

These Terms are governed by the laws of the State of Israel; exclusive jurisdiction - the courts of Tel Aviv-Yafo.
